DEFINITION OF TERMS
‘Buyer’ - the person or business named in the purchase order.
‘Seller’ - A2z Canopies.‘Goods’ - all items to be supplied and all work to be done by the seller as specified in the purchase order.
‘Purchase Order’ - the buyers purchase order which specifies that these conditions apply to.
‘Writing or written’ - includes faxes and e-mails.
‘The Contract’ - the arrangement between buyer and seller, comprising the purchase order, these conditions and any other documents specified.
1 SERVICE
1.1 The seller supplies and installs goods as advertised in it’s brochures and on it’s website.
1.2 The seller offers free surveys and free quotations to all prospective buyers.
1.3 All enquiries are treated in the strictest confidence.
2 GENERAL
2.1 Quotations are submitted and orders are accepted only upon and subject to the terms and conditions of sale as herein set out, unless expressly agreed and accepted by the seller in writing and signed by an officer of the seller.
3 PRICES
3.1 All prices quoted are held for 60 days from the quotation date and are for the full quantities specified.
3.2 The seller only accepts orders subject to written confirmation from the buyer, the buyer must complete, and return the sellers purchase order form.
4 PURCHASE ORDERS
4.1 The seller only accepts orders subject to written confirmation from the buyer, the buyer must complete, and return the sellers purchase order form.
4.2 The Purchase Order form includes reference to the sellers quotation/s and any agreed installation dates.
5 BESPOKE GOODS
5.1 If goods have been manufactured, cancellations of specially made [bespoke/made to measure/specification] goods, not limited to but including colour finishes and sizes, the buyer will be liable to pay for 70% cost of the total Purchase Order to cover administration, manufacturing and cost of materials.
5.2 Please note that we are unable to accept returns or provide a refund in relation to any made-to-measure products, due to the bespoke nature of each item, unless they fail to meet the Purchase Order/Buyer specifications.
6 CANCELLATIONS
6.1 Upon receipt of a signed purchase order, a cancellation will only be accepted in writing and acknowledged in writing by the seller with the following terms:
6.2 Cancellation with over 14 days of installation date and NOT bespoke: No charge
6.3 Cancellation within 14 days of installation date, 100% of purchase order total.
7 INSTALLATION TIMES
7.1 The seller will make every effort to adhere to Installation times quoted at the point of receipt of order.
7.2 No liability can be accepted for any loss resulting from delays or non-completion of contract caused by circumstances beyond the sellers control.
7.3 Lead times quoted previously on surveys etc., could be subject to change and are for guidance purposes only.
8 PAYMENT
8.1 All deposits are non-refundable, unless the seller cancels the Purchase Order.
8.2 Unless otherwise stated in writing by the seller, payment terms are: Payment in full upon completion of work.
8.3 Our canopies are completed and payment becomes due when all structural work is finished.
8.4 Ancillary items such as post pads, water butts and other accessories not delivered at the completion date is not an acceptable reason for a delay in payment.
8.5 Overdue accounts will be charged daily at a rate of 4% over the Bank of England’s base rate.
8.6 Administration costs and any legal expenses, if applicable, will also be added to all overdue accounts.
9 RETENTION OF TITLE
9.1 All goods are sold on retention of title and will therefore remain the property of the seller until the buyer has paid for them in full.
10 SPECIFICATION
10.1 The seller reserves the right to change product specification due to improved component parts which may become available from time to time.
11 DEFERRED INSTALLATION
11.1 If the buyer or the buyer’s agent delays installation for any reason after a signed order has been placed, the buyer must pay at least half of the agreed amount no later than 14 days after the original agreed installation date so as to offset the sellers material costs and labour costs incurred during manufacture of the bespoke goods.
11.2 In return for payment, the seller agrees to store the bespoke goods for up to one month at no cost to the buyer, after which time the full balance will become due plus any relevant storage costs.
12 EXCAVATING POST HOLES
12.1 Whilst every care is taken when excavating post holes, the supplier will not accept responsibility for any damage to underground drains, water pipes, electrical cables or any other buried services unless their position is clearly indicated before excavation takes place.
13 WARRANTY (10 year guarantee)
13.1 The Supplier warrants that on delivery or completion of installation as the case may be, and for a period of 10 years from the date of delivery or completion of installation whichever is the latter.
13.2 The Supplier shall not be liable for the Goods if:
13.2.1 The defect arises as a result of the Supplier following any drawing, or complying with any Customer Specification.
13.2.2 The defect arises as a result of any defect in any existing structure to which the Goods are to be installed; including but not limited to the state of any walls, brickwork or mortar.
13.2.3 The defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal working conditions.
13.2.4 The Customer removes, takes down, alters or repairs such Goods without the written consent of the Supplier.
14 LAW OF CONTRACT
14.1 The order on acceptance, will be deemed to be an English Contract governed by English Law.
